Terms & Conditions of Sale

1. Scope and Purpose
These Terms and Conditions govern all sales and distribution of cosmetic and wellness products (“Products”) by Mantra Bliss Oils & Cosmetics L.L.C. (“the Company”) to its customers, distributors, and retail partners (“the Buyer”). Purchase or distribution of the Products constitutes acceptance of these Terms.

2. Product Specifications and Standards
Products are manufactured under Good Manufacturing Practices (GMP) and comply with applicable regulations. Descriptions, images, and packaging are for reference only and may vary slightly due to natural ingredients. The Company may revise formulations or packaging to meet new standards without prior notice.

3. Orders and Acceptance
Orders must be submitted in writing or through an approved online platform and become binding only upon written confirmation or issuance of a Proforma Invoice. The Company may accept or reject orders at its discretion. Minimum Order Quantities may apply.

4. Pricing and Payment Terms
Prices are quoted in AED and exclude taxes, duties, and shipping unless specified. Payment terms follow the Proforma Invoice. Late payments may incur monthly interest and may result in suspension of supply.

5. Delivery and Risk Transfer
Delivery timelines are indicative and depend on availability and logistics. Title remains with the Company until full payment is received. Risk passes to the Buyer upon delivery to carrier or pickup.

6. Returns, Replacements & Refunds
Only damaged or defective goods reported within 7 days of delivery are eligible for return. Opened or used items cannot be accepted. Liability is limited to replacement or refund of the invoiced amount.

7. Distribution and Resale Policy
Authorized distributors may sell only through approved retail or e-commerce channels at brand-aligned pricing. Repackaging or relabeling without written approval is prohibited. Marketing activities must comply with local laws. The Company may audit compliance at any time.

8. Product Liability and Use
Products are safe when used as directed. Buyers must communicate correct usage and storage instructions. The Company is not liable for misuse or allergic reactions unless caused by undeclared ingredients.

9. Intellectual Property
All trademarks, packaging, and formulations are the exclusive property of the Company. Distributors receive a limited, non-transferable license solely for promotion within their territory. Unauthorized use constitutes infringement.

10. Confidentiality
All commercial and marketing information exchanged shall remain confidential and survive termination of the relationship.

11. Compliance and Ethics
Distributors must comply with all applicable cosmetic regulations and ethical trade practices. Products cannot be sold in unregistered markets. Breach may lead to termination without compensation.

12. Force Majeure
The Company is not liable for delays or failure caused by events beyond reasonable control, including natural disasters, war, or government restrictions.

13. Limitation of Liability
To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Site or the Content, whether express or implied. We will not be liable to you for any loss or damage (including indirect and consequential damage) suffered by you arising out of your use of this Site including but not limited to that arising out of or in relation to your use of or inability to use the Site, any reliance on any Content, any virus or technologically harmful material that may infect your computer equipment by your use of the Site and any use of any website linked to this Site and any use of your password or account (whether authorized or not).

14. Disputes and Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, with exclusive jurisdiction of the Dubai Courts.
Any dispute, claim, or controversy arising from or related to these Terms of Use shall be resolved through private and confidential binding arbitration conducted before a single, independent arbitrator in the United Arab Emirates, in accordance with the Rules of Commercial Conciliation and Arbitration as amended from time to time. The arbitration shall be governed by the laws of the United Arab Emirates, and the appointed arbitrator shall be legally qualified with relevant experience in the information technology sector and Skin care products . Notwithstanding this provision, the Company reserves the right to seek judicial remedies to protect its intellectual property and confidential information, and for such purposes, both parties agree to submit to the exclusive jurisdiction of the courts of the United Arab Emirates

15. Terms of Website
The user of the Mantra Bliss Website shall be referred to as (“You”) The Website is provided to you for your personal use subject to these terms and conditions and any other rules posted on the Website (including our Privacy Policy) (the “Terms and Conditions”).
By visiting the Website you agree to be bound by, consent to comply with, and consent to the practices described in, these Terms and Conditions, which govern your access and use of the Website and all content and functionalities available on the (the “Services”).
If you wish to use our Services you must read and agree to be bound by our policies relating to those Services. In particular, your attention is drawn to our policies relating to the terms of purchase and our Privacy Policy. “Mantra Bliss” is our registered trademark. We are the owner/distributor or licensee of all registered and unregistered intellectual property rights in the Site and all content published on the Site (“Content”), the Site design, including, but not limited to, text, graphics, software, photos, video, music, sound, and their selection and arrangement, and all software compilations, underlying source code and software. You may download and print off one copy of extracts of our Site for personal use. You may not use our intellectual property for any other purpose
